These Terms of Use govern the use of the website and the Reactor system.
By creating an account or using the service, you confirm that you have read and agree to these Terms, the Privacy Policy and the Risk Disclosure.
1. Who operates the service
Reactor is operated by CODEOJO INC.
Hereinafter: "Reactor", "the Company", "we" or "the Service".
2. What Reactor is
Reactor is a software service that enables, among other things:
- connecting accounts at brokers and exchanges;
- displaying account and market data;
- using Chat and AI models to analyze information;
- creating and running Agents;
- setting rules, strategies and limits;
- receiving alerts and approval requests;
- and, in some operating modes, sending actions to a connected account.
Available features may vary by plan, user permissions, the connected account, third-party providers and the service's stage of development.
3. No holding of customer funds
Reactor does not hold the user's funds and is not a custodian.
Funds and assets remain in the user's account at their broker, exchange or service provider.
4. Eligibility
The service is intended for people aged 18 or older who are legally able to enter into a binding agreement.
The user is responsible for making sure that using Reactor, the connected account and the relevant financial products is permitted where they are located and under the law that applies to them.
5. Your Reactor account
The user agrees to provide accurate, up-to-date information and to safeguard the access and authentication methods for their account.
A personal account may not be shared with another person unless the service or plan expressly allows it.
The user is responsible for activity carried out through their account, unless they notified us without delay of unauthorized use.
6. Connecting accounts and APIs
Reactor may allow connecting to third-party accounts through an API, OAuth or another connection method.
The user is responsible for:
- making sure they are authorized to connect the account;
- choosing the permissions they grant;
- keeping API keys and secrets secure outside Reactor;
- and revoking permissions that are not needed.
The Service never needs withdrawal permissions. Connect API keys with read and trading permissions only, and keep withdrawals disabled.
An account can be disconnected through Reactor, where this option is available, or directly with the account provider.
Disconnecting in Reactor does not replace revoking the permission at the broker when the user wants to make sure the permission has been fully revoked.
7. Agents and automation
Agents operate according to the instructions, information, permissions, tools and limits available to them.
An Agent may use an AI model, so its behavior is not necessarily deterministic.
The user is responsible for reviewing an Agent's settings before activating it and for choosing whether it runs in analysis, approval or automation mode.
Do not assume that an Agent will always behave the same way or without errors.
We may suspend an Agent, an action or an automated capability when needed for security reasons, a malfunction, suspected unlawful use, a system limit, or to protect the service or its users.
8. Plans, usage and limits
The price, billing period, usage limits, number of Agents, available models, credits and other features are set out on the plans page or the relevant purchase screen and form part of the terms of the transaction.
Limits may include, among others:
- number of actions or Agent runs;
- Chat usage;
- use of specific AI models;
- credits or a usage budget;
- number of connected accounts;
- automation frequency;
- or other system limits.
When the user reaches a limit, some services may stop, be blocked, or require an additional purchase or upgrade. Use of the Service is subject to plan limits and system limits. Limits that apply to the user will be shown in the system. On monthly subscriptions, the included AI allowance renews each billing period. Unused allowance does not carry over to the next period.
9. Subscriptions and automatic renewal
When a plan is set up as a recurring subscription, it is billed in advance at the start of each billing period and renews automatically until cancelled.
Price details and the renewal date are shown before purchase.
An upgrade takes effect immediately, and you are charged only the prorated difference for the rest of the current billing period. A downgrade takes effect at the next renewal; until then you keep your current plan.
After you cancel, your plan stays active until the end of the billing period you already paid for, and it does not renew after that.
Renewal can be cancelled through the options in your account or through our contact form.
A future price change will not apply retroactively. If the price of an existing subscription changes materially, we will give notice before the billing period in which the change is due to apply, as required by law.
10. Pay As You Go and credits
When the service includes credits or usage-based billing, the calculation method, price and limits are shown on the purchase or usage screen.
Using Chat, Agents, models or different tools may consume different amounts of credits.
Credits that have already been used are non-refundable, except where the law requires otherwise.
Pay As You Go credit does not expire. It stays in your account until it is fully used. Other terms, such as a minimum balance, auto-recharge or usage caps, are shown at purchase if they apply to the plan.
11. Freemium, Beta and test access
Access to Freemium, Alpha, Beta or a test program may be limited in time, quantity, users or features.
When Freemium is set for a period of up to 60 days, that period starts on the date given to the user when access is granted.
Applying to join a program does not guarantee acceptance.
Experimental features may change, be limited, not operate continuously, or be removed.
We may change, limit or end a free or test program, subject to commitments already made to the user and to applicable law.
12. Cancellation and refunds
A user may stop a subscription from renewing at any time, through the options available in their account or through our contact form.
Where the Israeli Consumer Protection Law or another mandatory consumer law applies to the transaction, cancellation rights, refunds and cancellation fees apply in accordance with that law and cannot be reduced by these Terms.
In particular, where Israeli law applies to a distance sale, the consumer may have cancellation rights within the period set by law, including special rights for groups entitled to them by law.
When the service has already started before cancellation, we may charge or deduct amounts for the part already provided, to the extent the law allows.
Where the service was not provided, there was a non-conformity, or there is another ground for cancellation under which the law prohibits a cancellation fee, no cancellation fee will be charged.
Mandatory consumer rights prevail over any conflicting provision in these Terms.
13. Payment
Payments may be processed through Stripe or another payment provider shown at checkout.
We do not store the full credit card number when payment is processed directly by the payment provider.
Taxes, VAT or other government charges apply in accordance with the law and the details shown at purchase.
14. Prohibited use
The service may not be used for:
- unlawful activity;
- prohibited market manipulation;
- fraud or impersonation;
- accessing an account that does not belong to the user;
- bypassing limits, permissions or security mechanisms;
- harming the service or other users;
- attempting to gain unauthorized access to systems;
- reverse engineering, decompiling or copying the service, except to the extent the law requires this to be allowed;
- selling an account or sharing access contrary to the plan;
- generating abnormal load or unauthorized automated use.
We may limit or suspend an account when we have reasonable grounds to suspect a breach, a security risk or unlawful activity.
15. Intellectual property
The system, code, design, interfaces, text, graphics, videos, trademarks and original content of Reactor and the Company are protected by copyright and intellectual property law.
The content and the system may not be copied, distributed, sold, republished or used commercially without permission, except for personal use of the service in accordance with these Terms.
Trademarks, logos and names of brokers, exchanges and other providers belong to their owners and are used for identification and technical integration only.
16. User content and instructions
The user retains their rights in the content, prompts, rules, strategies and data they enter into the service, to the extent such rights exist.
The user grants us permission to use and process this information to the extent needed to operate, secure and maintain the service and to provide the features they requested.
The user agrees not to enter material they have no legal right to use.
17. Availability and changes to the service
We work to keep the service running and reliable, but we do not guarantee continuous availability or that every feature will be available at all times.
The service may be affected by maintenance, malfunctions, changes at third-party providers, and changes to AI models, brokers, APIs and infrastructure outside our control.
We may add, change or remove features, provided we do not reduce consumer rights that cannot be waived.
18. Limitation of liability
The service is provided "as is" and "as available", subject to obligations that cannot be waived under law.
To the maximum extent permitted by law, the Company is not liable for trading losses, loss of expected profit, loss of opportunity, loss of data, or indirect or consequential damage arising from use of the service.
To the maximum extent permitted by law, the Company's total aggregate liability in connection with the service will not exceed the amounts the user paid the Company during the three months before the event giving rise to the claim.
This limitation does not apply where the law prohibits limiting liability or where there is liability that cannot be waived.
19. Taxes and reporting
The user is responsible for checking the tax, reporting and regulatory obligations arising from their activity and from trading in the connected accounts.
Reactor does not provide tax advice.
20. Service messages and marketing
We may send service messages needed to operate the account, such as security notices, billing notices, material changes to the service, action confirmations or Agent-related alerts.
Marketing messages are sent in accordance with applicable law and the required consents.
Where prior consent to marketing is required, agreeing to use Reactor is not in itself consent to receive advertising.
You can unsubscribe from marketing through the unsubscribe link in the message or by contacting us.
21. Ending or suspending an account
The user can stop using the service and cancel renewal in accordance with these Terms.
We may suspend or close an account due to a material breach of these Terms, unlawful activity, a security risk, non-payment, or use that endangers the service or other users.
Where practical and where it does not endanger the system or a third party, we will try to give appropriate notice before permanent closure.
22. Changes to these Terms
We may update these Terms when the service, the law or the way we operate changes.
The date of the last update is shown at the top of the page.
When a material change affects existing users, we will give advance notice by reasonable means, as required by law.
23. Governing law and jurisdiction
These Terms are governed by the laws of the State of Delaware, United States, except for rules that require another law to apply.
Jurisdiction lies with the competent courts of the State of Delaware, subject to consumer rights and jurisdiction rules that cannot be waived.
